Terms of Service

1. Who we are

Nanobridge (the "Service", also referred to as "we", "us", "our") is operated by NanoBridge AI LLC, a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801, United States. The Service consists of our marketing website at nanobridge.ai, our developer console at platform.nanobridge.net, and our API gateway endpoints.

By creating an account, purchasing credits, or calling our API, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. What the Service is

Nanobridge is a developer API gateway. We provide a unified, OpenAI- and Anthropic-compatible interface that routes your requests to multiple third-party AI models, together with the tooling around it: API key management, request routing and automatic failover, usage metering, credit accounting, and billing.

We are not the provider of the underlying AI models. Model inference is performed by third-party model providers. Model availability, latency, and output quality depend on those providers and may change without notice. We do not guarantee that any particular model remains available.

3. Accounts and security

• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and for keeping your API keys confidential. Keys are shown to you when created and are stored only as metadata on our side.
• Notify us promptly at the contact address below if you believe your account or keys have been compromised.
• One account per person or organization unless we agree otherwise in writing.

4. Credits, pricing and billing

• The Service is sold as prepaid resource packs. Prices are shown on our pricing page and may change for future purchases.
• Purchased credits are applied to your account balance and consumed by API usage according to the rates published for each model. Unused credit balances are non-transferable and may not be sold, exchanged, or combined across accounts.
• Credits are valid for 12 months from the date of purchase unless stated otherwise at checkout.
• We may change usage rates for future usage with reasonable notice. Rate changes do not retroactively apply to credits already consumed.
• You are responsible for any taxes, duties, or levies applicable to your purchase, excluding taxes on our net income.
• Payment methods and settlement (including card payments processed by our payment processor and cryptocurrency payments) are described in our Refund Policy.

5. Acceptable use

You agree not to use the Service, or permit anyone else to use it, to:

• violate any applicable law or regulation, or infringe the rights of others;
• generate or distribute sexual content involving minors, content that sexualizes minors, or any material that is illegal in your jurisdiction or ours;
• create malware, conduct phishing or fraud, or attempt to compromise any system or network;
• probe, scan, overload, or attempt to bypass the security, rate limits, or access controls of the Service or of upstream providers;
• resell raw gateway access as a standalone competing service without our prior written consent;
• misrepresent AI-generated output as human-generated where doing so would be unlawful or harmful.

We may suspend or terminate access, with or without notice, if we reasonably believe your usage violates these Terms or creates legal, security, or operational risk. Where practical, we will notify you and allow you to export your own configuration data.

6. Your content and outputs

You retain all rights you hold in the prompts, code, and files you submit, and in the outputs you receive, subject to the terms of the upstream model providers. You grant us only the limited rights needed to transmit, route, and process your requests to operate the Service. Our data handling is described in our Privacy Policy: we do not persist prompts or outputs for analytics or model training.

AI output can be inaccurate or incomplete. You are responsible for evaluating outputs before relying on them, particularly for legal, medical, financial, or safety-critical uses.

7. Availability and changes

We aim for high availability but the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We may modify, add, or discontinue features, and may perform maintenance that causes interruption.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the three months preceding the event giving rise to the claim, or (b) USD 100. Nothing in these Terms limits liability that cannot be limited by law.

9. Termination

You may stop using the Service at any time. We may terminate these Terms or your access for material breach, including non-payment or violation of the acceptable use section. Sections that by their nature should survive termination (including liability limits, governing law, and payment obligations) will survive.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute, and each party consents to venue there. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

11. Changes to these Terms

We may update these Terms. Material changes will be reflected by a new "Last updated" date, and continued use of the Service after an update constitutes acceptance. If a change materially reduces your rights, we will provide reasonable notice by email or in the console.
